A Plain-English Guide

Asset tokenization turns a legal right to an asset into a digital token on a blockchain. The token is a record of that right. It is not the asset itself.

A building stays a building. A bond stays a bond. What moves onto the chain is a claim on that asset: a share, a debt claim or a fund unit. The token carries the rules that go with that claim: who may hold it, who may receive it and when income is paid.

Three questions decide almost everything else.

What does the token legally represent?

Who is allowed to hold it?

Who can move it, and how does it settle?

Tokenization changes how the asset is recorded and moved. It does not change what the asset is worth. It does not create buyers.

This guide is for two readers. Asset owners who want to know whether tokenization fits their asset. And FinTech leaders who are adding tokenization to their platform. It is informational.

Short on time? Here's the gist

A token is a digital record of a legal right to an asset.

The right sits in a legal wrapper, usually a company or a fund.

Smart contracts enforce who can hold the token and when income is paid.

The law still applies. In the EU, a token with the rights of a share or bond is tested as a financial instrument under MiFID II, and MiCA excludes financial instruments.

Most tokenized value today cannot yet move freely between wallets. RWA.xyz counts $39.18 billion that can, and $352.65 billion that cannot (15 October 2026).

What is asset tokenization in plain English?

Asset tokenization is the process of issuing a digital token that represents a legal right to an asset. The right might be ownership, a share of income, or a claim to repayment. The token lives on a blockchain, a shared digital ledger. The ledger shows who holds which tokens.

Asset: Something with a clear legal owner. A building, a loan, a fund, a bar of gold.

Right: What the holder is legally entitled to. A share of rent. Interest. A unit of a fund.

Token: The digital record of that right, held in a wallet.

Industry shorthand calls this RWA tokenization, after "real-world asset". The label says where the asset comes from. It does not say how the law classifies the token. That second question matters more, and we come back to it below.

A token is

Not the asset. You cannot live in a token or drive it. You hold a right.

Not a bet on crypto markets. The value is meant to follow the asset and its terms.

Not a collectible. Units of one class are normally interchangeable and carry identical rights.

Not automatically liquid. A token can be transferred. That does not mean anyone will buy it.

What changes and what stays the same

Traditional

Tokenized

Record of who owns what

A register held by a company, transfer agent or depository

A ledger entry. The cash leg still needs a settlement asset

What stays the same is the law.

A tokenized share is still a share. The rules on offering it, protecting investors and preventing market abuse follow the rights, not the technology. The EU definition of a transferable security does not mention technology at all (see the section on EU rules below).

How does tokenizing a real-world asset actually work?

Tokenizing an asset takes six steps. Which ones you need depends mainly on your token type. Two terms help here. On-chain means recorded on the blockchain and run by smart contract code. Off-chain means everything outside it: legal documents, company records, approvals and bank payments.

The first three steps happen entirely off-chain. The chain comes in at step four. Steps five and six use both.

Three technical pieces sit behind these steps.

The smart contract: For regulated assets, the contract needs to refuse transfers to ineligible wallets. A basic token cannot do that, so tokenized securities use permissioned token standards like ERC-3643. No EU regulation names a token standard. The choice changes how much comes ready-made and how much gets built.

The valuation feed: A blockchain cannot see the real world. A valuation has to be fed in. That feed is called an oracle. If the number is wrong, every investor's payout and redemption price is wrong. That is why the feed needs an independent source and a check. You need a feed when payouts, prices or loan checks depend on a changing real-world number. A token with a fixed price and a fixed schedule may not need one.

The legal link: The token has power only because of the terms and the register behind it. Some Member States have electronic-securities laws that can make a ledger entry the legal record. Whether it does depends on national law.

A worked example: tokenizing a €10 million office building

Illustration only. The numbers are invented to show the mechanics. They are not an offer or a forecast.

Asset: an office building valued at €10,000,000 by an independent valuer.

Wrapper: an SPV owns the building. There is no debt, to keep the arithmetic simple.

Tokens: the SPV issues 100,000 tokens at €100 each. Each token is one equal share of the SPV.

Net rent: €500,000 a year after costs. That is €5 per token per year, or €1.25 per quarter.

One investor: holds 50 tokens. They cost €5,000. The investor receives €250 a year, or €62.50 a quarter. That is a 5% yield on the €100 price.

Here is what happens over the life of the asset.

Onboarding. The investor first passes identity checks. Once they pass, the investor's wallet is added to the approved list.

Subscription. The investor then pays for the tokens. When the payment arrives, the contract issues the 50 tokens, and it issues them only to an approved wallet.

Quarterly payout. Each quarter, the contract pays every approved holder €1.25 per token, so this investor receives €62.50. If a holder has lost eligibility, a well-built system does not pay them automatically. It holds the amount until the issue is fixed.

Resale. Later, the investor can sell the 50 tokens to another verified investor. Before the transfer goes through, the contract checks both wallets. If the buyer's wallet is not verified, the contract refuses the transfer.

Revaluation. Twice a year, an independent valuer reports a new value for the building. If the building is revalued at €9,000,000, the value per token falls from €100 to €90.

Exit. At the end, the SPV sells the building and pays the proceeds out per token. After that, the tokens are cancelled.

The example leaves out a lot. It does not include taxes, fees or the SPV's running costs. It does not cover the prospectus or its exemption, or any authorizations the structure may need. One hard fact remains: a token does not create a buyer. If no eligible investor wants the 50 tokens at a fair price, the investor cannot sell them.

<fieldset class="hidden-fields-container">
</fieldset>

.inn-sub-form input[type="email"]{
width:100%; You tokenize a right, and the right depends on the structure.

Real estate: a share of the company that owns it

The investor does not own a tile of the building. The investor owns a share of the SPV that owns the building, or a debt claim on it. Rent flows to the SPV. The SPV pays it out per token. A sale of the building ends the structure.

A fund: the same unit, recorded differently

Applies if the vehicle pools investor money under a manager.

A tokenized fund unit gives the holder the same rights as a paper unit because the fund's rules still apply in full. A vehicle that pools investor money may count as an alternative investment fund (AIF). The test is in the Alternative Investment Fund Managers Directive. It covers collective investment undertakings which "raise capital from a number of investors, with a view to investing it in accordance with a defined investment policy for the benefit of those investors" (Directive 2011/61/EU, Art 4(1)(a)(i), consolidated 16 April 2026). A fund authorized as a UCITS, the standard EU rulebook for retail funds, falls outside that test (Art 4(1)(a)(ii)). Whether a given structure meets the test is a question for counsel.

A treasury bill: usually a fund unit, not the bill

A token in your wallet is not a bill in a vault. Many of the largest tokenized government-debt products are units in a fund that holds the bills. RWA.xyz lists them under "U.S. Treasury Funds". At least six of the ten largest carry "Fund" in their name (15 October 2026). The holder's rights come from the terms of the product, not from the bill.

Why are FinTechs tokenizing real-world assets in 2026?

Smaller tickets: A token can split a large asset into small units and the issuer sets the minimum.

Faster settlement: A transfer can settle in one step. By default, EU trading-venue trades settle two business days after the trade.

Automated payouts: A contract can pay income to every eligible holder on a schedule.

Rules in code: Eligibility checks can run on every transfer, not just at onboarding.

Lower running cost, in some cases: Code can replace manual steps in payouts, checks and record-keeping. Tokenization also adds costs like legal structuring, audits and platform upkeep. Net savings depend on the asset and its scale.

The numbers below show how large the market is today and where its limits are. First, can the token move to a wallet outside the issuing platform? Second, can it be transferred between wallets? A token that passes both is distributed. A token that fails either is represented. Eligibility controls, such as whitelists, do not make a token fail. About 90% of the counted value is represented: $352.65 billion of $391.83 billion.

Forecasts depend on scope. Ripple and BCG point to about $19 trillion by 2033. The two largest tokenized property assets on RWA.xyz are worth about $115 million between them and the other 61 are smaller. The market is still early.

What tokenization does not fix

Tokenization does not fix three problems. It does not create liquidity, because a token needs buyers, and buyers need a venue and a price they trust. It does not solve valuation, because a chain cannot see the real world. And it does not fix legal title, because the wrapper has to be right before the token means anything.

Which EU rules apply to a tokenized asset?

Applies if the asset or its token will be offered to investors in the EU. This section describes what the rules say. It does not classify any particular structure. No reader owes every rule below.

Start with one question: is the token a financial instrument? A token that carries the rights of a share, bond or fund unit is tested under MiFID II. MiCA then steps aside: "This Regulation does not apply to crypto-assets that qualify as one or more of the following: (a) financial instruments" (Regulation (EU) 2023/1114, Art 2(4)). Everything else follows from that answer.

If this is true

Rulebook

What it does

The token carries the rights of a share, bond or fund unit

MiFID II

Treats the token as a financial instrument. Title, terms, valuation and buyers still matter. What changes is how the right is recorded, held and moved. If you can answer the three questions from the start of this guide, you are further along than most. In case,if you cannot yet, that is the place to begin.

If you want a custom build, start by mapping what your asset needs: the wrapper, the contracts, the valuation feed and the investor rules.
